Terms and Conditions
Victory Switzerland GmbH – B2B Wholesale
1. Scope of Application
These Terms and Conditions apply to all business relationships between Victory Switzerland GmbH (hereinafter "Victory" or "Seller") and its business customers (hereinafter "Customer" or "Buyer"). By placing an order, the Customer fully accepts these Terms and Conditions.
2. Offers and Orders
All offers from Victory are non-binding and without obligation unless expressly agreed otherwise. Customer orders are considered binding. A contract is only concluded upon written order confirmation or delivery by Victory.
3. Prices and Payment
All prices are in CHF, excluding VAT, ex-warehouse Switzerland. Payment terms: 30 days net from invoice date, unless otherwise agreed. In the event of late payment, default interest of 5% per annum will be charged. Victory reserves the right to adjust prices at any time.
4. Minimum Order Value
The minimum order value is CHF 150.– (excl. VAT). Orders below this amount may be subject to a small quantity surcharge.
5. Delivery and Shipping
Delivery is ex-warehouse Switzerland. Shipping costs of CHF 20.– apply for orders below CHF 300.– (excl. VAT). For orders of CHF 300.– or more, delivery within Switzerland is free of charge. Delivery times are non-binding; delays do not give rise to any claims for damages.
6. Retention of Title
Delivered goods remain the property of Victory until full payment has been received. The Customer undertakes to handle the goods with care until full payment has been made.
7. Warranty and Complaints
The Customer must inspect the goods immediately upon receipt. Defects must be reported in writing within 7 working days of receipt. The warranty is limited to replacement delivery or credit at Victory's discretion. Any further claims are excluded.
8. Returns
Returns are only possible after prior agreement and with a return authorisation number (RMA). Return shipping costs are borne by the Customer, unless the return is due to an error by Victory.
9. Liability
Victory's liability is limited to the value of the goods of the delivery concerned. Any liability for indirect damages, lost profits or consequential damages is excluded to the extent permitted by law.
10. Data Protection
Victory treats customer data confidentially and in accordance with the Swiss Federal Data Protection Act (nDSG/FADP). Data is used exclusively for the business relationship and to improve our services. For more information, please contact us at [email protected].
11. Applicable Law and Jurisdiction
Swiss law shall apply, excluding the United Nations Convention on Contracts for the International Sale of Goods (CISG). The place of jurisdiction is the registered office of Victory Switzerland GmbH in Wohlen bei Bern, Switzerland.
12. Final Provisions
Should any provision of these Terms and Conditions be or become invalid, the validity of the remaining provisions shall not be affected. The invalid provision shall be replaced by a valid provision that most closely reflects the economic purpose of the invalid provision.
